duncan bayne writes "My company is developing some software using Ruby. It's proprietary software — decidedly not free-as-in-beer — but I don't want to tie my customers down with the usual prohibitions on reverse engineering, modification, etc. After all, they're licensing the product from us, so I can't see why they can't use it as they see fit. Does anyone know of an existing licence that could be used in this case? Something that delivers the customer the freedom to modify the product as they see fit, but prohibits them from creating derivative works, or redistributing it in any fashion?"

    So you want something like the way Stone Edge Order Manager is licensed, or the way Windows source code is licensed to select entities. It might look something like the following; run it past your lawyer:

    "Publisher" is [insert name of duncan bayne's employer]. "Product" is [name of product]. "Licensee" is an organization receiving a copy of the Product under this license agreement. "Modified Product" refers to works incorporating substantial portions of the Product, such as any derivative work of the Product.

    Subject to sections X, Y, and Z, Publisher allows Licensee to prepare a Modified Product, to reproduce the Product or Modified Product, and to distribute copies thereof within Licensee. Because the Product contains valuable trade secrets, this permission does not extend to distributing copies of the Product or Modified Product outside of Licensee.

    In other sections, you can set forth the number of computers on which Licensee may use copies, etc.
